Throughout these terms, “WealthPhi” refers to our software, and “We” or “Company” pertains to Bombay Fintech Private Limited.

Expression of Interest and Ownership
Please note that WealthPhi is the intellectual property of Bombay Fintech Private Limited. We hold exclusive rights to grant, revoke, and renew usage licenses for WealthPhi as detailed below.

Usage License and Platforms
The usage license for WealthPhi provides access to our software via distinct login panels, including Admin, Client, and Sub-brokers/Relationship Managers, both on our website and mobile apps (available on Android and iOS). This license does not transfer ownership rights to the user.

License Duration and Renewal
The software license is available upon payment of a one-time upfront fee and remains valid for 365 days. The software (or subsequently purchased features/capabilities) license renew can be done so by making the payment for the subsequent before the end of the existing validity. The taxes like GST will be charged as per the applicable rates which are revised as per the prevailing government rules.

Payment and Accountability
The acceptable mode of payment will be communicated through our software or website page. We will be using third party services for online payments. Such payments when made online and are not honoured to our bank account shall be a matter of concern between you and the third party service providers. Availability of our services will not be subject to resolution of such issues. You will only be able to use or renew our subscription subject to the credit of full amount to our bank account.

Software Error and Responsibility
We disclaim liability for software errors arising from web hosting environment issues. Any technical disruptions resulting from hardware or software failures on the web hosting platform are not within our responsibility. Rectification procedures will be initiated but we will not be in control or confirm any timelines of the issue resolution.

Data Security and Responsibility
WealthPhi operates as a web-based software hosted on a Cloud Server. Users are solely responsible for safeguarding their data, application passwords, and portal-related aspects. Our application and data are hosted with some of the best cloud service providers. We are always committed to protecting your personal information. We endeavour to have suitable technical/operational/physical security in place to protect your data against any theft or breach. However, in an event of breach of security our Company, employees, or its directors shall not be held responsible/liable.

User Training and Support
We provide comprehensive support to the user to get acquainted with the software. While we are committed to optimal training without extra charges, we do not guarantee site visits or one-on-one training sessions.

Usage Constraints and Copyright Compliance
Users are bound not to copy, resell, or modify the software. Any violation may result in legal action for Copyright Infringement and Intellectual Property Law breach.

Customization and External Factors
Customization requests are accepted, and charges will apply based on agreed rates. Errors due to user vendors or customization sources are not our responsibility.

Data Source and Discrepancies
The software draws data from Registrar and Transfer Agents (R&TAs). We are not liable for any data discrepancies originating from R&TAs.

Indemnity and Liability Coverage
Users indemnify us against all actions, claims, liabilities, penalties, costs, damages, losses, and expenses arising from WealthPhi usage.

Loss Indemnification and Third-Party Claims
Users also indemnify us against losses, expenses, demands, or liabilities arising from claims by customers, investors, sub-brokers, employees, or third parties.

Data Accuracy and Indemnity
We provide no warranties for the accuracy of reports produced using WealthPhi. Users indemnify against losses arising from using these reports.

Limitation of Liability
We are not liable for any direct or indirect losses or damages from WealthPhi usage, including data loss, consequential losses, or loss of profit.

Terms Update Notification
We reserve the right to modify terms, conditions, and disclaimers. Users will be informed within one month of changes. By using the website or mobile apps, you agree to the prevailing terms and conditions.

Legal Jurisdiction
These terms are governed by relevant Indian laws. Disputes, whether contractual or tortuous, will be exclusively resolved by Indian courts in Pune (Maharashtra).

Please ensure you review and understand these terms before using WealthPhi across platforms. Your continued use implies acceptance of these terms and conditions.

Note: The Company may amend these Terms, the Privacy Policy or such other terms as it deems necessary from time to time, and you acknowledge and understand that your continued access to the Platform and use of the Services shall be subject to such terms as may be made applicable from time to time. Continued access or use of the Services constitutes your acceptance of the changes and the amended Terms and Privacy Policy.
